Licences granted by the Authority

15.16.  The Authority hereby grants to the Service Provider a royalty-free, non-exclusive, non-transferable licence during the Contract Period to use:

15.16.1.  the Authority Software;

15.16.2.  [the Database;] and

15.16.3.  [the Authority's documentation, processes and procedures]

15.16.4.  [the Specially Written Software from the date the relevant rights are transferred to the Authority in accordance with clause 17;] [and]

15.16.5.  [the Project Specific IPRs from the date the relevant rights are transferred to the Authority in accordance with clause 17;] [and]8

15.16.6.  the Authority Data[; and]9

15.16.7.  [any others].

15.17.  The licence granted in clause 15.16:

15.17.1.  includes the right to grant sub-licences to Sub-Contractors provided that any relevant Sub-Contractor has entered into a confidentiality undertaking with the Service Provider on the same terms as set out in clause 23 (Information and Confidentiality); and

15.17.2.  is granted solely to the extent necessary for performing the Services in accordance with this Agreement.  The Service Provider shall not, and shall procure that the Sub-contractors do not, use the licensed materials for any other purpose or for the benefit of any person other than the Authority.

15.18.  Neither party shall have any right to use any of the other party's names, logos or trade marks on any of its products or services without the other party's prior written consent.

15.19.  In the event of the termination or expiry of this Agreement, the licence referred to in clause 15.16  any sub-licence granted in accordance with clause 15.17 and any licence granted in accordance with clause 15.18 shall terminate automatically and the Service Provider shall deliver to the Authority all material licensed to the Service Provider pursuant to clause 15.16 or clause 15.18 in the Service Provider's possession or control.
