32.4.  Disputed Amounts

32.4.1.  If the Authority disputes the Service Provider's entitlement to any part of the amount claimed by the Service Provider pursuant to clause 33.1 (Report and Invoice) in respect of any Payment Period the following provisions of this clause 32 (Payment and Set-Off) shall apply.

32.4.2.  The Authority shall notify the Service Provider in writing within twenty (20) Business Days of receipt by the Authority of the relevant invoice and supporting report of that part of the amount (insofar as at the time of such notice the Authority is reasonably able to quantify it) which the Authority disputes (a "Disputed Amount") and submit to the Service Provider such supporting evidence as the Authority may have.

32.4.3.  The Authority may withhold payment of any Disputed Amount pending agreement or determination of the Service Provider's entitlement in relation to the Disputed Amount.
