45.2.  Restriction on the Service Provider

Subject to clause 45.3 (Exception) the Service Provider shall not assign, underlet, charge, sell, bargain or otherwise deal in any way with the benefit of this Agreement in whole or in part except with the prior written consent of the Authority (which the Authority may in its absolute discretion refuse).
