50.  TERMINATION ON SERVICE PROVIDER DEFAULT INCAPABLE OF REMEDY

50.1.  The Authority shall be entitled to terminate this Agreement in whole or in part forthwith by giving written notice of termination to the Service Provider if;

50.1.1.  an Insolvency Event affecting the Service Provider [or the Guarantor] occurs; or

50.1.2.  any other Service Provider Default has occurred which is incapable of remedy.

50.2.  For the avoidance of doubt if the Service Provider Default is capable of remedy, the provisions of clause 49 shall apply.
