54.1.  Accrued Rights

54.1.1.  The termination of this Agreement howsoever arising is without prejudice to the rights, duties and liabilities of either party accrued prior to termination. The clauses of this Agreement which expressly or impliedly have effect after termination or expiry will continue to be enforceable notwithstanding termination in accordance with clause 70 (Continuing Obligations).

54.1.2.  On or before the Expiry Date or Termination Date, the Service Provider shall ensure that all documents or computer records in its possession, custody or control which contain information relating to the Services including any documents in the possession, custody or control of a Sub-Contractor are delivered up to the Authority.
