64.  LAW AND JURISDICTION

This Agreement is governed by the laws of England and Wales and, subject to Disputes which are properly referred to and resolved in accordance with the Dispute Resolution Procedure, the parties submit to the exclusive jurisdiction of the courts of England and Wales.
