8.6 Conditions of Sale
(a) Part 1 of the Standard Commercial Property Conditions (Second Edition) ("the Part 1 Conditions") are incorporated in this Agreement in so far as they
(i) are applicable to the grant of a lease;
(ii) are not inconsistent with the other clauses in this Agreement; and
(iii) have not been modified or excluded by any of the other clauses in this Agreement
and so that any reference to "buyer" shall be amended to "tenant" and any reference to "seller" shall be amended to "landlord" and any reference to "property" shall be amended to "[Phase/Site]".
(b) Part 2 of the Standard Commercial Property Conditions (Second Edition) are not incorporated in this Agreement
(c) The following Part 1 Conditions do not apply to this Agreement
(i) Condition 2.2
(ii) Conditions 6.1, 6.2, 6.4.2 and 6.6.2
(iii) Conditions 7.1.1, 7.1.2, 7.1.3 and 7.1.4(b)
(iv) Condition 9.3.3
(d) The Authority will give the Contractor vacant possession of the relevant [Phase/Site] on completion of the grant of the relevant Lease.
(e) The Authority will grant the Leases with such title guarantee and with such modifications (if any) as are set out in the Leases.
(f) The Contractor acknowledges that the Authority has deduced good title to the [Phases/Sites] before the date of this Agreement and
(i) that the [Phases/Sites] are sold subject to and with the benefit of the matters contained or referred to in the Leases;
(ii) agrees to accept the Leases with knowledge and notice of the matters referred to in this clause 8 and in Standard Commercial Property Condition 3.1.2 and that it may not raise any requisitions on them.
(g) At any time prior to actual completion of a Lease the Authority may make such additions and modifications to the form of any Lease or the plan or plans to be annexed to it as the Authority may reasonably require in order to describe the premises to be demised as constructed and/or the rights to be granted or reserved.
(h) No provisions of this Agreement shall merge on the completion of the grant of any of the Leases.
