62.1  Project Data

Where the Authority exercises its Termination Option or Expiry Option (as the case may be), the Contractor grants to the Authority or shall procure the grant to the Authority of a non-exclusive, royalty-free, worldwide, irrevocable, freely assignable, perpetual licence of any Ancillary Intellectual Property Rights owned by the Contractor or licensed to it which are necessary or desirable for the purpose of using and exploiting the Generated Intellectual Property Rights and of any Generated Intellectual Property Rights, to use the same for the purposes of:

(a)  the Authority providing the [Dwellings/Common Parts/Apartment Blocks], performing its duties under this Agreement and/or any statutory duties which the Authority may have; and

(b)  the design or construction of the [Dwellings/Common Parts/Apartment Blocks], the operation, maintenance or improvement of the [Dwellings/Common Parts/Apartment Blocks] and/or the provision of services the same as, or similar to, the Services,

(together, the Approved Purposes), and in this clause "use" shall include the acts of copying, modifying, adapting and translating the material in question and/or incorporating them with other materials and the term "the right to use" shall be construed accordingly.
