Question 4: Legal and Commercial

The Local Authority intends to follow the guidance, Model Contract and Direct Agreement included in the Joint Service Centre (JSC) Procurement Pack produced by 4ps.

Bidders are reminded that their consortium, which includes technical, financial and legal advisers, should not complete this section in isolation from the remainder of the response to this ISOS. The entire consortium is expected to be familiar with the project specifics and commercial aspects of their bid (as appropriate), and to have an understanding of how the interfaces will work and how the consortium will work together, if selected to deliver the Project.

4.1  Please confirm:

4.1.1  your understanding of and commitment to the 4ps JSC Procurement Pack documentation; and

4.1.2  whether you are able to commit to the position set out in the standard documents included in the Joint Service Centre (JSC) Procurement Pack. Please identify and explain those areas on which you may wish to raise either:

(i)  generic issues in relation to the standard documents; or

(ii)  project specific issues (whether by way of amendment to the documents or otherwise) including, but not limited, to the following areas (defined terms are terms used in the JSC contract):

 Defects and asbestos;

 Vandalism Claims, Vandalism Damage and insurance issues;

 Interface issues.

4.2  Please confirm that the Bidder's Building Sub-Contractor and FM Contractor have endorsed the response to Question 1. Please specifically confirm that the Building Sub-Contractor will accept all risk of Defects on the standard JSC drafting basis.

4.3  The Authority intends to base its approach to the Payment Mechanism as provided in [insert details]. Please confirm that you accept the relevant principles set out in that document.
