1 Scope of the Appointment
1.1 The Council intends to invite tenders from various persons (whether tendering individually or with others as part of a bidding consortium) for (inter alia) the refurbishment [and management] of approximately [ ] properties upon the [ ] estate in the [City] [Borough] [District] of [ ] under the Government's private finance initiative. The refurbishment [management and maintenance] of the properties is herein referred to as "the Project". The properties are listed in Appendix 1 ("the Properties" which expression shall include the said properties with their curtilages and all utilities, services, unadopted highways, common parts, open spaces and surrounding areas and the said land itself all within the Council's [ ] estate).
1.2 Whichever person is appointed to undertake the Project will be responsible for refurbishing, improving, [managing] the Properties to the standards set out in the [Output Specification and Availability Standards] document attached as Annex 2 to the Stock Condition Survey Brief referred to in Appendix 2.
1.3 It is important therefore that the Council and persons invited to tender are made aware of the current state of the Properties, [and of associated ground condition and contamination risks].
1.4 The Council wishes to appoint you to carry out a stock condition [and geotechnical and land contamination] survey of the Properties ("Stock Condition Survey" which expression shall mean the provision of the services and the carrying out of the works referred to in Clause 2.1). This Appointment and your acceptance will constitute the entire agreement between us in relation to its subject matter and will replace any previous agreement between us in relation to the Stock Condition Survey. Any services or works already provided or carried out by you relating to the Stock Condition Survey shall be treated as having been provided or carried out under the terms of this Appointment and shall not be treated as variations pursuant to Clause 7.3 or otherwise.
