7  Remuneration

7.1  Your fee inclusive of expenses and disbursements (except statutory fees) for the proper performance and completion of the Services will (subject to Clause 7.3) not exceed £[     ] exclusive of VAT.  A breakdown of your fee is set out in Part 1 of Appendix 6.

7.2  The fee together with any VAT payable thereon will be due and payable within 30 days after receipt of an invoice from yourself following completion of [each instalment stage as set out in Part 2 of Appendix 6].

7.3  If at the Council's written request you undertake any services or works additional to the Services, or if by reason of any changes requested in writing by the Council you are required to undertake significant extra work, then a fair and reasonable additional fee will be payable, provided that, notwithstanding the above, the Council shall have no liability to you to pay any such additional fee unless such fee has been agreed with the Council in writing prior to you undertaking the additional services or works.  Any such additional fee shall, unless otherwise agreed with the Council in writing, be calculated by reference to the schedule of rates set out in Part 3 of Appendix 6.  Any such additional fee shall be invoiced in accordance with the instalment stages referred to in Part 2 of Appendix 6 and be due and payable in accordance with Clause 7.2 or otherwise as agreed by the parties to this Appointment.

7.4  For each instalment stage referred to in Clause 7.2 you shall provide a VAT invoice of the amount due at that stage addressed to the Council.
