8  Copyright

8.1  On acceptance of this Appointment by you the Council is granted an irrevocable, non-exclusive royalty free licence by you to use and reproduce all drawings, details, specifications, calculations and other information (whether paper, computerised or otherwise) which have been or are prepared by or for you for the purposes of this Appointment and the methodology and designs contained in them produced pursuant to this Appointment ("the Documents") for any purpose connected with the Stock Condition Survey or the Project, or the subsequent refurbishment of the Properties, and such licence shall carry the right to grant sub‑licences in the terms of this licence, but copyright shall remain vested in yourselves.  Subject to Clause 8.3, you shall not be liable for any use by the Council of the Documents for any purposes other than those for which the same are or were prepared.

8.2  You agree to supply to the Council on request (after as well as before the termination of your employment hereunder), copies of the Documents.  The Council shall pay your reasonable reproduction costs if incurred after such termination.

8.3  If the use or reproduction of the Documents is found to infringe the rights of any third person, you shall indemnify the Council against all resulting costs, damages and expense.
