9  Assignment and sub‑letting

9.1  The benefit of this Appointment may be assigned on two occasions by absolute assignment to any person without your consent and thereafter with your consent (such consent not to be unreasonably withheld or delayed).  You shall not be entitled to assign the benefit of this Appointment.

9.2  You must not delegate or sub‑let the whole or any part of your obligations under this Appointment without the Council's written consent. The Council will not unreasonably withhold such consent where any such sub-letting or delegation is provided for in the Contract Documents, provided that:

(a)  the identity of any person to whom work is delegated or sub-let and the terms of his appointment are approved by the Council; and

(b)  prior to such subletting or delegation such person provides collateral warranties in favour of any persons to whom you may be obliged to provide warranties under this Appointment and in favour of the Council each in the form contained in Appendix 3 (mutatis mutandis, and with any amendments reasonably required by such persons and/or the Council).

9.3  Any delegation or sub-letting permitted in accordance with Clause 9.2 shall be entirely without prejudice to and shall not derogate from or otherwise limit your liabilities and obligations under this Appointment.
