14  Termination and Suspension

14.1  The Council may, without prejudice to its other rights and remedies, at any time and without providing reasons by notice in writing to you terminate immediately your employment under this Appointment.

14.2  The Council may at any time after commencement of the Services by notice in writing to you require you to suspend immediately performance of all or any of the Services.  If the Council shall not have required you to resume performance of the Services within a period of 6 months from the date of such notice then either you or the Council may at any time terminate your employment under this Appointment.

14.3  If the Council has required you to suspend performance of the Services under Clause 14.2 the Council may at any time within a period of 6 months from the date of such notice require you in writing to resume the performance of the Services.  In such event you shall as soon as reasonably practicable resume the performance of the Services in accordance with this Appointment and any payment made under Clause 14.5 shall be deemed a payment on account towards the payments to be made to you under this Appointment.

14.4  Upon any termination of your employment or any suspension of the Services, you shall take immediate steps to bring to an end the Services in an orderly manner, but with all reasonable speed and economy, and shall deliver to the Council any property of the Council in your possession or control, or any material in respect of which the copyright is vested in the Council and is in your possession or control, together with all correspondence and documentation in your possession or control relating to the Services.  You hereby relinquish any lien on any such material to which you may be entitled.

14.5  Except where your employment is terminated or the Services are suspended by reason of your breach of this appointment, the Council shall in accordance with the provisions of Clause 7 (and subject to Clause 14.7) pay you such instalments of the fee as are due (but unpaid) as at the date of termination or suspension together with a fair and reasonable proportion of that part of the fee which has not become due, such proportion to be commensurate with the Services actually performed by you for the period from the last instalment in respect of those instalments of the fee that have become due under this Appointment up to the date of such termination or suspension.

14.6  Where termination of your employment arises from your breach of this Appointment, the Council may employ and pay other persons to carry out and complete the Services and until completion of the Services by such other person the Council shall be under no obligation to make further payment to you, save in respect of any sum which became due under this Appointment prior to the date of termination.  Upon completion of the Services the Council shall ascertain and notify to you the proper costs of completing the Services (including without limitation any loss and/or damage properly incurred by the Council as a result of the termination) and if such amounts when added to the monies paid to you prior to the date of termination exceed the total amount of the fee which would have been paid to you on due completion of the Services the amount of such excess shall be a debt payable to the Council by you within 30 days of such notification.  If such amounts when added to the monies paid to you prior to the date of termination are less than the said total amount of the fee the difference shall be a debt payable by the Council to you within 30 days of such notification.

14.7  Upon any termination of your employment howsoever arising, or upon suspension of the Services, the Council shall not be liable to you for any loss of profit or opportunity, loss of contracts or any other losses and/or expenses of whatsoever nature arising out of or in connection with such termination or suspension.

14.8  Termination or suspension of your employment under this Appointment shall be without prejudice to the accrued rights and remedies of either party in respect of any negligence, omission or default of the other prior to such termination or suspension.

14.9  The provisions of this Appointment shall continue to bind the Council and yourselves insofar as and for as long as may be necessary to give effect to their respective rights and obligations under this Appointment.
