WHEREAS:

(A)  By an Agreement in writing dated [                   ] 200[ ] (the "Appointment") the Council appointed the Surveyor to carry out a stock condition [and land contamination and geotechnical] survey of properties upon the [                     ] estate in the [City] [Borough] [District] of [             ] (the "Properties" as defined in the Appointment).

(B)  The Appointment was entered into in anticipation of inter alia the Council appointing the Second Employer for (inter alia) the refurbishment, maintenance and management of the Properties (the "Refurbishment Works").

(C)  [             ] [City] [Borough] [District] Council has appointed the Second Employer for the Refurbishment Works.

(D)  The parties have agreed to novate the Appointment to the Second Employer on the terms set out below.
