10.  GOVERNING LAW AND INTERPRETATION

10.1  The law of this Deed is English law and the English courts shall have jurisdiction with regard to all matters arising therefrom.

10.2  The definitions given in the Recitals hereto shall apply to this Deed.

10.3  Clause headings in this Deed shall be of no effect.
