12.  REPRESENTATIVES

12.1  Each party shall from time to time appoint a Representative who shall be authorised to exercise the rights, functions and powers of the relevant nominee party (as the case may be) under this Agreement and the identity of such Representative shall be notified to the other parties in writing.

12.2  Each Representative shall be entitled to at any time by written notice to the other parties appoint an alternate who shall for purposes of this clause be regarded as the relevant Representative.

12.3  Each party shall be entitled to treat any act of a Representative as being expressly authorised by the relevant nominee party and shall not be required to determine whether any express authority has in fact been given.
