16.1.1 Subject to clause 16.1.2 and 16.2.3, the rights and obligations of DFE under this Agreement and the [Development and] School Agreement shall not be assigned, novated or otherwise transferred other than to any person (being a single entity) having the legal capacity, power and authority to become a party to and perform the obligations of DFE under this Agreement and the [Development and] School Agreement being a Minister of the Crown pursuant to an order under the Ministers of the Crown Act 1975.
16.1.2 Any assignment pursuant to clause 16.1.1 may only be to an assignee which has substantially the same responsibilities for education services.
