1.1 In this Deed:
"Academy" means an academy to be operated by the relevant Academy Trust at the Relevant Site pursuant to the Academies Act 2010;
"Academy Conversion Notice" has the meaning given to it in clause 2.2 of this Deed;
"Academy Effective Date" means the date on which an Academy the subject of an Academy Conversion Notice first opens;
"Academy Trust" means a company limited by guarantee which operates an Academy from the Academy Effective Date;
"Business Day" means any calendar day excluding Saturday and Sunday and any public bank holiday in England, whichever day it may fall;
"Certification Requirements" means the requirements which must be satisfied for a contract to be a certified contract for the purposes of the Local Government (Contracts) Act 1997;
"Confirmation Notice" has the meaning given to it in clause 2.3 of this Deed;
"Predecessor School" means the relevant School which the Academy is to replace;
"Relevant Site" means the Site of the Predecessor School.
1.2 All words and expressions defined in the Project Agreement shall have the same meanings when used in this Deed (unless otherwise defined in this Deed).2
1.3 In this Deed except where the context otherwise requires:
1.3.1 the masculine includes the feminine and vice-versa;
1.3.2 the singular includes the plural and vice versa;
1.3.3 a reference to any clause or schedule is, except where expressly stated to the contrary, a reference to such clause or schedule of this Deed;
1.3.4 save where stated to the contrary, any reference to this Deed or to any other document shall include any permitted variation, amendment or supplement to such document;
1.3.5 a reference to a person includes firms, partnerships and corporations and their successors and permitted assignees or transferees; and
1.3.6 headings are for convenience of reference only.
1.4 The schedules to this Deed form part of this Deed.
