- There is no adverse litigation, arbitration, investigation or proceeding pending, or to its best knowledge threatened, against or affecting such Party that could reasonably be expected to materially adversely affect its ability to fulfill its obligations under this Agreement or that may affect the legality, validity, or enforceability of this Agreement.
