If, following a service inspection or a maintenance inspection carried out during the last two years of the Operating Period, the Agency is of the opinion that the Facilities are in, or are likely to reach, a condition which is or would be so poor that the making of a Penalty under Section 6.1(c) (Operation and Maintenance Responsibilites) and Section 7.2 (Service Level and Quality) of the Agreement would not enable the Agency to recover an amount sufficient to compensate for that condition, the Company shall pay to the Agency an amount equal to the reasonable costs of the Agency in restoring the Facilities to the condition provided for in paragraph 5.1. Such payment shall be made within thirty (30) days of a demand from the Agency in that respect.
