(a) (Group 3 Limit): Project Co is liable for:
(i) the Group 3 Purchase Cost of all items of Group 3 Equipment; and
(ii) the costs of ordering, delivery, relocation, transport, installation, connection, commissioning or testing of any items of Group 3 Equipment not included in the Group 3 Purchase Costs,
only up to the Group 3 Limit.
(b) (State election): If the aggregate of the Group 3 Purchase Cost of all items of Group 3 Equipment approved in accordance with this clause 21.5 exceeds the Group 3 Limit, the State may direct Project Co:
(i) not to purchase certain items of Group 3 Equipment so that the aggregate of the Group 3 Purchase Cost of the items of Group 3 Equipment does not exceed the Group 3 Limit; or
(ii) to proceed with the purchase of the items of Group 3 Equipment on the basis that the State will pay for the amount in excess of the Group 3 Limit as a Change Compensation Event, in which case Project Co will be entitled to claim such excess amount as set out in Item 16 of Table 1 of the Change Compensation Principles, which will be calculated and determined in accordance with the Change Compensation Principles.
(c) (Commercial Acceptance): If at the Date of Commercial Acceptance, the Group 3 Purchase Cost of all items of Group 3 Equipment is less than the Group 3 Limit, the amount of any difference will be a debt due and payable by Project Co to the State.
