33.2  State Contribution Notice and payment

(a)  (Notice): Within 2 Business Days after the date on which the Certificate of Commercial Acceptance is issued, Project Co must deliver a notice, in the form of a valid Tax Invoice, to the State for the State Contribution to be paid (State Contribution Notice).

(b)  (Payment): The State must pay the State Contribution to Project Co within 20 Business Days after receipt by the State of the State Contribution Notice which has been correctly given under clause 33.2(a) by deposit into the State Contribution Account (as defined in the Finance Direct Deed).

(c)  (Set-off): The State may not set-off any amount due and payable to the State under a State Project Document against the State Contribution.
