(a) (Sole basis): Clauses 3 and 45 and this clause 46 set out the sole bases at Law or otherwise upon which the State is entitled to terminate, rescind or accept a repudiation of this Deed.
(b) (No right to terminate): Project Co acknowledges and agrees that, other than its right to terminate this Deed for a Force Majeure Termination Event in accordance with clause 46.3(a), Project Co has no right to, and will not, terminate any State Project Document notwithstanding any other provision of this Deed or any other State Project Document or any rights Project Co would have at Law or otherwise (including for repudiation) but for this clause 46.1(b).
