8.  Proposal Binding

The Respondent agrees that the Proposal:

(a)  will constitute an offer for the duration of the Validity Period or as otherwise agreed with the State; and

(b)  shall remain open for the Validity Period notwithstanding that a Respondent is not appointed as the Preferred Respondent.
