CHECKLIST

1.  Has the structure of Contract Management been outlined, including who the Stakeholders will be, what the reporting structure will be for the Preferred Bidder to follow, and what communication protocols will govern the working relationship?

2.  Have the procedures to manage any contractual changes been clearly outlined, with the implicit understanding that all such changes following their mutual agreement during the negotiation phase must be taken only after careful deliberation?

3.  Has a mechanism to resolve disputes been outlined clearly, with an emphasis on transparency and swiftness of resolution, preferably with a structure substantiated in international arbitration procedures?

4.  Is there clarity around asset handover procedure, building upon the procurement method structure to be followed, and other related end-of-concession issues?

5.  Has it been made sufficiently clear how the Preferred Bidder's performance will be monitored, including in writing as part of the Partnership Contract, comprising the precise indicators that will be gauged?

6.  Is there a payment structure (reward or penalty) linked to the achievement of the Project's performance goals, and what will be the procedure(s) to change any of the indicators that assess the Bidder's performance?

7.  Has a risk management plan been outlined by the Government Entity, which details a system that detects evolving risks and triggers mitigation activities as stated in the Partnership Contract?

8.  Does the risk management plan have the flexibility to implement emergency measures if the situation demands them?
